Terms and conditions of sale

Article 1: Purpose and scope

These general terms of sale govern the services provided by Stratedge Consulting to its business clients.

They cover consulting, scoping, the design and development of digital tools, marketing and acquisition services, management and operations subscriptions, training and the fixed-price products presented on this website. The quote or the order specifies the exact scope of each engagement.

Article 2: Identification of the provider

Stratedge Consulting, a single-shareholder simplified joint-stock company (SASU) with a share capital of €10,000, whose head office is at 60 rue François 1er, 75008 Paris.

Article 3: Order and formation of the contract

The order is formed by the acceptance of a quote, the signature of a proposal, or the online purchase on this website of a fixed-price product, a consulting session or a subscription.

For online purchases, the client enters their details, accepts these terms through a checkbox, then pays by card on the page. The validation of the payment forms the contract; an order acknowledgement and the receipt are emailed immediately. For engagements on quote, the signature or the written “go-ahead” is authoritative, including when given online from the quote page: the client enters their name and ticks the “read and approved” statement. Stratedge Consulting keeps the proof of this signature (name, date, time, IP address and fingerprint of the signed quote) and emails a copy to the client.

Article 4: Prices and payment terms

Prices are expressed in euros excluding tax. The applicable VAT is added at the rate in force.

Unless the quote states otherwise, a project is paid in three instalments: 40% at order, 30% at design sign-off, 30% at go-live, by bank transfer or by card.

Fixed-price products, diagnostics and consulting sessions bought on the website are paid in full at order, by card, through the payment provider Stripe. Stratedge Consulting keeps no banking data. The amount is shown excluding and including tax before payment. A receipt is emailed as soon as the payment goes through and the invoice is sent within 72 working hours.

Subscriptions taken online are paid by card, monthly and in advance, by automatic debit through Stripe at each due date. The first payment occurs at subscription and includes, where applicable, the set-up fee. The Stratedge OS Essential and Team plans include a fourteen-day free trial: nothing is charged during the trial, and the first payment, set-up fee included, occurs when it ends. Subscriptions taken on quote are paid by bank transfer or by card as set out in the quote.

Article 5: Appointments, hourly and daily consulting

Appointments are booked in the website's calendar, at the slots offered in Paris time. The video call and the kick-off meeting are free. A confirmation with the calendar file and, for video calls, the connection link, is sent by email; a reminder goes out the day before and one hour before.

The video consulting session is billed at €300 excluding tax per hour, paid at booking. The on-site consulting day is billed at €2,000 excluding tax per day, paid at booking, for a day from 9 am to 5 pm at the client's premises; travel expenses are billed at cost outside Paris, on receipts.

The client can move or cancel an appointment from the management link received by email. A consulting session cancelled at least 48 hours before its start is refunded in full or rescheduled; an on-site day cancelled at least 7 days before its start is refunded in full or rescheduled. Past these deadlines, or if the client does not show up, the session is due. If Stratedge Consulting has to cancel, the client chooses between a new slot and a full refund.

Article 6: Late payment

In the event of late payment, penalties calculated at the European Central Bank's key rate plus 10 points apply automatically, as well as the statutory fixed recovery fee of €40 per invoice (articles L441-10 and D441-5 of the French Commercial Code).

Article 7: Performance of services and client obligations

The client provides the access, content and contacts needed for the proper performance of the service.

The validations expected from the client are specified at each stage. A prolonged delay in validation or access may shift the schedule; the calendar is then revised by mutual agreement.

Article 8: Delivery, acceptance and reservations

Each delivery is subject to an acceptance period defined in the quote, during which the client states its reservations in writing. Defects found are corrected; at the end of the period and in the absence of reservations, the delivery is deemed accepted.

Article 9: Subscriptions, term and termination

Subscriptions are concluded for a fixed, renewable term.

The commitment period and the notice period appear in each subscription's quote. Advertising support carries an initial commitment of 6 months, then continues month to month. At expiry, each subscription can be terminated in writing subject to the agreed notice.

The Stratedge OS subscription is billed monthly and in advance, at the public prices shown on the website. It carries an initial term of twelve months, starting when the trial ends where the plan includes one, then continues by one-month periods, terminable in writing with one month's notice. During the trial, the client can stop at no cost by simply writing to us. Set-up is billed once. The client can export all of its data at any time, under the conditions of article 17.

The Care, Partnership and Management Partnership subscriptions, taken online or on quote, carry an initial commitment of twelve months, tacitly renewed for twelve-month periods, and are terminable in writing with 60 days' notice before expiry. The Growth subscription carries an initial commitment of six months, then continues month to month, terminable in writing with one month's notice. Termination takes effect at the end of the current period; instalments already paid are not refunded.

Article 10: Right of withdrawal

The services are intended for professionals acting in the course of their business.

They therefore do not give rise to the withdrawal period provided for consumers, subject to the statutory exceptions applicable to certain contracts concluded off-premises.

Article 11: Intellectual property

Deliverables developed specifically for the client (code, interfaces, content) are assigned to the client after full payment of the price.

Stratedge Consulting retains ownership of its generic building blocks, methods and know-how, licensed for use within the project.

Article 12: Personal data and confidentiality

Personal data processing is described in the privacy policy.

When Stratedge Consulting processes data on behalf of the client, it acts as a processor within the meaning of the GDPR: a data processing agreement sets out the roles, the security measures and the retention periods. Application data is hosted in Europe.

Article 13: Artificial intelligence and human validation

Delivered systems that include AI provide for human validation of sensitive decisions.

AI uses are documented in accordance with the European AI Act: transparency about generated content, traceability of actions and logging of processing.

Article 14: Warranties and liability

Stratedge Consulting is bound by an obligation of means. Its liability, all causes combined, is capped at the amounts actually paid by the client over the last 12 months.

Indirect damages are excluded, in particular operating loss, loss of profit and loss of data attributable to a third party or to a lack of backup on the client's side.

Article 15: Force majeure

Neither party can be held liable for a breach caused by a force majeure event within the meaning of article 1218 of the French Civil Code. Obligations are suspended for the duration of the event; if it lasts beyond a reasonable period, either party may terminate without compensation.

Article 16: Commercial references

Unless the client objects in writing, Stratedge Consulting may cite the client's name and logo as a commercial reference, without disclosing confidential information.

Quantified results of an engagement are published only with the client's written consent.

Article 17: Reversibility and end of contract

At the end of the contract, the client retrieves its data in a standard, usable format. The code and access credentials of the tools developed for the client are handed over; exit support can be arranged on quote.

Reversibility is treated as a deliverable, not as an option.

Article 18: Applicable law and jurisdiction

These terms are governed by French law.

In the event of a dispute, the parties first seek an amicable solution. Failing agreement within 30 days, jurisdiction is granted to the competent courts of Paris.
